Term and Conditions
This is a contract between you and Scrader Inc.. ("Scrader"), a private limited company incorporated in Delaware.
The Platform, Scrader (“Platform”), is operated by Scrader, Inc. References in this agreement to "Scrader", "we", "our" or "us", are to Scrader, Inc. depending on the context, and references to "you" or "your" are to the persons with whom Scrader enters into this agreement. Scrader offers the Platform, including all information, tools and services available on itto you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.
These Terms of Service apply to all users of the Platformor any other Scrader platform including,without limitation,users who are browsers, vendors, customers, merchants, and/ or contributors of content. By visiting our Platformor any other Scrader platform, you agree to be bound by the following terms and conditions“Terms/Terms of Service”), including the additional terms and conditions and policies referenced herein. If you do not agree to all the Terms then you may not access the Platformor make use of any of our services.
Nothing on the Platform shall be construed as financial advice or a solicitation for investment and the information contained therein is to be used for informational purposes only.
Neither Scrader nor any of its affiliates, directors, officers or employees, nor any third partyvendor, will be liable or have any responsibility for any loss or damage that you incur in the event of any failure or interruptions on thePlatform, or resulting from the act or omission of any other party involved in making thePlatformor the data contained on it available, or from any other cause relating to your access to, inability to access, or use of the Platform.
Decisions based on information contained on the Platformare the sole responsibility of the user, and in exchange for using the Platform, you agree to holdScrader and its affiliates harmless against any claims for damages arising from any decision you make based on such information.
SECTION 1 –GENERAL CONDITIONS
We reserve the right to refuse service to anyone for any reason at any time. By agreeing to these Terms, you represent that you are at least of the age of consent in Nigeria.
You may not use our products for any illegal or unauthorized purpose nor may you,in the use of the Platform or any other Scrader platform, violate any laws of Nigeria(including but not limited to copyright laws).You must not transmit any worms or viruses or any code of a destructive nature.
Decisions based on information contained on the Platform are the sole responsibility of the user, and in exchange for using the Platform, you agree to holdScrader and its affiliates harmless against any claims for damages arising from any decision you make based on such information.
You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Platformor our services without express written permission by us.
SECTION 3-CREATING A SCRADER ACCOUNT
Registration of Account - To use any Scrader service, you must first register by providing your full name, e-mail address, password, and affirm your acceptance of these Terms. Wemay, at our sole discretion, revoke account registrations, andlimit the number of accountsthat a single user may establish and maintain at any time.
Identity Verification - In order to use certain features of the Platform,you may be required to provide us with personal information, including, but not limited to, your name, address, telephone number, e-mail address,date of birth, bank verification number and information regarding your bank account (e.g., financial institution and account number). By submitting these or any other personal information as may be required, you confirm that the information provided is accurate and authentic, and you agree to update Scrader if any information changes.
You hereby authorise Scrader to, directly or through third parties, make any inquiries we consider necessary to verify your identity and/or protect against fraud, including to query identity information contained in public reports (e.g., your name, address, past addresses, or date of birth), to query account information associated with your linked bank account (e.g., name or account balance), and to take any action we reasonably deem necessary based on the results of such inquiries and reports.You further authorise anythird parties to which such inquiries or requests may be directed to respond to such inquiries or requests fully.
SECTION 4–DIGITAL CURRENCY TRANSACTIONS
Scrader will processes a transaction according to the instructions received from its users and we do not guarantee the identity of any user, receiver, requester or other party. You should verify all transaction information prior to submitting instructions to us. Once submitted to the network, a transactionwill be unconfirmed for a period of time pending sufficient confirmation of the transaction. A transaction is not complete while it is in a pending state.
Funds associated with transactions that are in a pending state will be designated accordingly, and will not be included in your account’savailable balance or be available to conduct transactions. Scradermay charge network fees to process a transaction on your behalf. Scraderwill calculate the feesinits discretion, although Scraderwill always notify you of the fee at or before the time you authorise the transaction.
SECTION5 – ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION
We shall not be liable for any information made available on the Platformwhich is inaccurate, incomplete or not current. The Platformmay contain certain historical informationwhichis provided for your reference only.
SECTION 6 – DIGITAL CURRENCY STORAGE & TRANSMISSION DELAYS
Scrader securely stores all keys in our control in a combination of online and offline storage. As a result, it may be necessary for us to retrieve certain information from offline storage in order to facilitate a digital currency transaction in accordance with your instructions, which may delay the initiation or processingof such transactionfor 48 hours or more.
You acknowledge and agree that a transaction facilitated by Scrader may be delayed.
SECTION 7 – REVERSALS & CANCELLATIONS
You cannot cancel, reverse, or change any transaction marked as completedor pending. If your payment is not successful or if your payment method has insufficient funds, you authorise Scrader, in its sole discretion,to cancel the transaction. You are responsible for maintaining an adequate balance and/or sufficient credit limits in order to avoid an overdraft, insufficient funds, or similar fees charged by your payment provider.
Scrader reserves the right to refuse to process, or to cancel or reverse, any transactions in its sole discretion, even after funds have been debited from your account(s), if (a) we suspect that the transaction involves (or has a high risk of involvement in) money laundering, terrorist financing, fraud, or any other type of financial crime(b) it isin response to a subpoena, court order, or other government order(c)Scrader reasonably suspects that the transaction is erroneous; or (d) Scradersuspects the transaction relates to Prohibited Use as set forth below. In such instances, we will reverse the transaction and shall beunder no obligation to allow you to reinstate a purchase or sale order at the same price or on the same terms as the cancelled transaction.
SECTION 8 – MODIFICATIONS TO OUR SERVICES & PRICES
Prices for our products and services are subject to change without notice. We reserve the right to modify or discontinue any of our services(or any part thereof) without notice at any time.
We shall not be liable to you orany third-party for any modification, price change, suspension or discontinuance of any service.
SECTION 9 – PRODUCTS OR SERVICES
We reserve the right to limit the sales of our products or services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis.
We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in our serviceswill be corrected.
SECTION 10 – ACCURACY OF BILLING & ACCOUNT INFORMATION
We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors. We also reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, household or order. These restrictions may include orders placed by or under the same customer account, the same credit card, andorders that use the same billing andshipping address. If we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/orbilling address/phone number provided at the time the order was made.
You agree to provide current, complete and accurate purchase and account information for all purchases made on our Platform. You agree to promptly update your account and other information, including your email address, credit card numbers and expiration datesso that we can complete your transactions and contact you as needed.
SECTION 11 – OPTIONAL TOOLS
We may provide you with access to third-party tools over which we neither monitor nor have any control or input.
You acknowledge and agree that we provide access to such tools “as is” and “as available” without any warranties, representations or conditions of any kind andany endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.
Any use by you of optional tools offered through the platformis entirely at your own risk and discretion,andyou should ensure that you are familiar with and approve of the terms on which tools are providedby the relevant third-party provider(s).
We may also, in the future, offer new services and features through the Platform(including, the release of new tools and resources). Such new features andservices shall also be subject to these Terms of Service.
SECTION 12 – THIRD-PARTY LINKS
Certain content, products and services available via our Platform may include materials from third-parties.
Links on the Platform may direct you to third-party platforms that are not affiliated with Scrader. We are not responsible for examining or evaluating the content or accuracy,andwe do not warrant and will not have any liability or responsibility for third-party materials or platforms, or any other products, or services of third-parties.
We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party platform. Please review the third-party’s policies and practicescarefullyand make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directedto the third-party.
SECTION 13 – USER COMMENTS, FEEDBACK AND OTHER SUBMISSIONS
If, at our request, you send certain specific submissions (for example contest entries, tips, submissions etc.) or without a request from us,you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, ‘comments’), you agree that we may, at any timeand without restriction, edit, copy, publish, distribute, translate and otherwise use such comments in any medium. We are and shall be under no obligation to (1) maintain any comment in confidence; (2) pay compensation for any comments; or(3) respond to any comments.
We may, but have no obligation to, monitor, edit or remove content that we determine in our sole discretion is unlawful, offensive, threatening, libellous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.
You agree that your comments will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agreethat your comments will not contain libellousor otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Platformor any other Scrader platform. You may not use a false e-mail address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any comments. You are solely responsible for any comments you make and their accuracy. We take no responsibility and assume no liability for any comments posted by you or any third-party.
SECTION 14 – PERSONAL INFORMATION

Occasionally, there may be information on our Platform or any other Scrader platform that contains typographical errors, inaccuracies or omissions. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any of such information is inaccurate at any time without prior notice (including after you have submitted your order).
We undertake no obligation to update, amend or clarify information on our Platform, including without limitation, pricing information, except as required by law. No specified update or refresh date applied on the Platformshould be taken to indicate that all information on the Platformhasbeen modifiedor updated.
SECTION 16 – PROHIBITED USES
In addition to other prohibitions as set forth in these Terms, you are prohibited from using the Platform or its content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate anyinternational, federal, or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage,intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that willor may be used in any way that will affect the functionality or operation of the Platformor of any related Scraderplatform; (h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j)for any obscene or immoral purpose; or (k) to interfere with or circumvent the security features of the Service or any related Scrader platform, other Scrader platforms, or the Internet.
We reserve the right to terminate your use of thePlatformor any related Scrader platform for violating any of the prohibited uses.
SECTION 17 – DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY
We do not guarantee, represent or warrant that your use of the Platformor any other Scrader platformwill be uninterrupted, timely, secure or error-free. We do not warrant that the results that may be obtainedfrom the use of the Platformwill be accurate or reliable.
You expressly agree that your use of, or inability to use, the Platform or any related Scrader platform isat your sole risk. The Platformand all products and services delivered to you through the Platformare (except as expressly stated by us) provided ‘as is’ and ‘as available’ for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.
In no case shall Scrader Technology Ltd, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the serviceor any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility.
SECTION 18 – INDEMNIFICATION
You agree to indemnify, defend and hold harmless Scrader Technology Ltd, andall its subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable legalfees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by referenceor your violation of any law or the rights of a third-party.
SECTION 19 – SEVERABILITY
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall be deemed to be severed from these Terms of Servicebut shall not affect the validity and enforceability of the other remaining provisions.
SECTION 20 – TERMINATION
These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use any of our services, or when you cease using the Platform.
If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to andincluding the date of termination and/or accordingly may deny you access to our Platform(or any part thereof).
All obligations and liabilities incurred by you before the termination date shall survive the termination of this agreement for all purposes.
SECTION 21 – ENTIRE AGREEMENT
Any failure byus to exercise or enforce any right or provision contained in these Terms of Service shall not constitute a waiver of such right or provision.
These Terms of Service and any policies or operating rules posted by us on the Platform constitutes the entire agreement and understanding between you and us and govern your use of our services, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).
SECTION 22 – GOVERNING LAW
These Terms of Service shall be governed by and construed by the laws of the Federal Republic of Nigeria and shall be enforced therein.

You can review the most current version of these Terms of Service at any time on this page.
We reserve the right, at our sole discretion, to update, change or replace any part of these Terms by posting updates and changes to our Platform. It is your responsibility to check our Scrader platform periodically for changes. Your continued use of or access to our Platformor any of our services following the posting of any changes to these Terms of Service constitutes acceptance of those changes.
